The investment strategy of the enterprise is aimed at updating equipment, using new methods of processing raw materials, resource-saving technologies and automation of management technological process to improve the quality of products. This guarantees consistently high quality and safety of food products produced at the enterprise and the production of natural dairy products with long shelf life without the use of preservatives.

We process over 800 tons of milk daily

The enterprise's production capacity allows it to process over 800 tons of milk per day, and the range of products produced is able to satisfy the needs of the most demanding and discriminating customers.

More than 250 products

Today the product range includes over 250 products. The company produces not only traditional dairy products - kefir, cottage cheese, milk, sour cream, butter - but also has a large line of desserts (yogurt, jellies, puddings, pastes). The company operates a separate workshop for the production of children's dairy products, where milk and kefir are produced for feeding children from eight months, as well as yoghurts for preschool and school-age children. A special place in the assortment is occupied, of course, by glazed cheese curds, the production of which was started for the first time in Belarus at our enterprise.

40% of products are exported to countries near and far abroad

First Dairy pays great attention to the availability and wide representation of its products in retail trade. The products are widely represented on the markets of Belarus and Russia; supplies have been established to Georgia, Azerbaijan, Moldova, Kazakhstan, China and other countries.

First Dairy became the first enterprise in Belarus to master the production of Fetu cheese and dessert products made from cottage cheese using the ultrafiltration method under the Viennese Breakfast brand. The line of these original and delicious delicacies was created taking into account the various needs of consumers and includes three types of curd products.

Introduction

The dairy product or dairy subcomplex is one of the most important elements of the product structure of the agro-industrial complex of the Republic of Belarus. Milk and dairy products are one of the main sources of nutrition for the population. And this is no coincidence. Even in ancient times, people learned to value nutritious and healing properties milk, calling it “the source of health”, “juice of life”, “white blood”.

Milk occupies an exceptional place among animal products. Being a source useful substances has a wide spectrum of action in the human diet, it is well digested and easily absorbed by the body. Consumption of dairy products cannot be eliminated or significantly reduced.

Along with animal fat, whole milk products contain more than 100 vital components, such as amino acids, fatty acids, milk sugar, minerals, enzymes, vitamins and a number of others. However, the greatest value in milk is protein.

Considering the high nutritional value dairy products, their consumption should be sufficient, both in relation to the norms rational nutrition, and a varied selection of goods.

In accordance with the above, the concept for the development of dairy cattle breeding in the republic stems from the task of sufficient self-sufficiency in dairy products in accordance with scientific and medical standards, as well as the export orientation of the industry.

The significant place of the dairy subcomplex is determined by the high value of its final products in the nutritional structure of the population of the republic. According to scientifically based data, 30-40% of the total calorie content of food consumed by a person should come from dairy products.

The importance of dairy production in the agro-industrial complex is determined by the following figures: dairy cattle breeding accounts for over 25% of gross agricultural output; in the structure of commercial livestock production, the share of dairy cattle breeding accounts for over 15%. This industry concentrates 20% of fixed agricultural production assets and 33% of labor resources. In general, the dairy-product subcomplex produces 27% of the final agricultural products.

Along with this, this subcomplex is the main supplier of young animals for growing and fattening cattle, and for the crop growing industries a supplier of valuable organic fertilizer - manure; Pig farming uses milk for early piglets.

The dairy subcomplex is a rather complex organizational and economic system of interconnected industries and sub-sectors of agriculture, processing industry, trade and service industries. Its main core, serving interconnected industries involved in the process of production and exchange of final products, is the livestock industry.


Analysis of the organizational and legal form of the enterprise and the system of participation in its activities, recorded in the charter of the enterprise.

An OJSC is an enterprise whose funds are generated by pooling the funds of many participants through the issue and sale of shares. The owners of shares can be both legal entities - the state, enterprises, organizations, and individual citizens.

The financial and economic liability of shareholders (co-owners of the enterprise) for the obligations and losses of the enterprise is limited to the amount of their contributions to the capital of the company.

The direction and nature of the activities of joint-stock companies can be different, but the common goal remains - making a profit.

A share is a security that represents a certificate of contribution of capital (share, unit) to the total capital of a joint-stock company. Owning a share gives you the right to receive a certain income from it and the right to participate in the management of this company. The income generated by a stock is called a dividend.

A shareholder is not a creditor of a joint-stock company, but its owner within the limits of the number of shares that he owns. Shares carry the prospect of multiple multiplication of the starting value, which is associated with the growth of share capital.

Based on the nature of dividend receipt and the presence of voting rights, shares can be: ordinary (ordinary) and preferred (preferential).

Common shares are shares that give the owner the right to vote at company meetings and pay a dividend that fluctuates depending on the company's profits.

It should be noted that the general meeting of shareholders itself determines which part of the profits received is paid to shareholders in the form of a dividend, and which part is used to expand the activities of the enterprise. If the company is implementing an investment program or has just been organized, then the dividend may not be paid at all. In this case, it is also possible to reduce the size of the dividend if the company's profit increases.

Common shares give the owner the right to vote at shareholder meetings. By voting, shareholders exercise control over the activities of the company's board. For the majority of shareholders, this right is only a formality, which is associated with voting not according to the formula: “one person - one vote,” but according to the formula “one share, one vote.” Consequently, only those shareholders who have concentrated a sufficiently large block of shares in their hands can actually manage a joint-stock company. Those same shareholders who have one, two, three shares in their hands find themselves practically removed from management.

A controlling stake is a block of shares that provides its owner(s) with control over the activities of the company.

Formally, in order to control the activities of the company, you must have 50% + 1 share in your hands. In reality, capital is usually dispersed among many small shareholders, so the size of the controlling stake can drop to 5 - 10% of all shares.

In addition to ordinary shares, there are preferred shares.

Preferred shares are shares that do not give their owners voting rights, but provide them with a number of privileges: payment of a fixed dividend; payment of dividends as a matter of priority.

OJSC "City Dairy Plant No. 1" was created on the basis of the order of the Minsk City Committee for State Property Management and Privatization dated October 30, 2003 No. 84 by transforming the private enterprise OJSC "MLITEPS" in accordance with the legislation on joint-stock companies, on privatization and denationalization of private property into Republic of Belarus.

The Company is a commercial organization - a legal entity, has a seal, stamps, forms with its name, a trademark (service mark), settlement and other accounts in banking institutions.

The purpose of the creation is economic activity aimed at making a profit, creating highly efficient production to most fully satisfy the needs of shareholders and the workforce of the company, providing the population of the district, region, republic and other regions with food products based on modern technology, through deep and high-quality processing of agricultural raw materials.

The company is liable for its obligations only with its property. It is not responsible for the obligations of its shareholders, and the shareholders are not responsible for the obligations of the company. Shareholders do not have the right of ownership to individual objects that are part of the company’s property, including those contributed by them to the authorized capital. Shareholders bear the risk of loss to the extent of the shares they own.

The authorized capital of the company is determined in the amount of 55,195,000 rubles. The state’s share in the UV company is 51.9%

The authorized capital may be changed in accordance with the procedure established by law. If at the end of the financial year the value of the company's net assets is less than its authorized capital, then the authorized capital must be reduced in accordance with the established procedure to an amount not exceeding the value of the company's property. If the value of these assets becomes less than the minimum size of the authorized capital determined by law, the company is subject to liquidation.

The authorized capital is divided into 7,269 ordinary registered shares with a par value of 3,500 rubles each.
